These terms govern the use of software and messaging services supplied by Elbit Technologies to business clients.
These terms form an agreement between Elbit Technologies ("Elbit", "we", "us"), a software provider registered in Kenya, and the business that licenses or uses our software (the "Client", "you").

By using our software, or by connecting a business account to it, you accept these terms.
Elbit supplies messaging and customer relationship management software. Depending on what has been agreed with you, this may include:
Elbit is a technology provider. We do not originate the messages sent through the service and we do not control their content.
You are responsible for the accounts and credentials issued to your staff, for keeping them confidential, and for everything done through them. Tell us promptly if you believe an account has been compromised. We may suspend an account where we reasonably believe it is being misused.
You are the controller of the data you send through the service and of the contacts you load into it. You are responsible for:
Messaging through WhatsApp is subject to Meta's own rules. Your use of the service is conditional on complying with the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service and the Meta Platform Terms, as amended from time to time.
Meta may restrict, rate-limit, suspend or disable a phone number or business account for policy breaches. Where that happens, we will help you understand and address it, but the decision is Meta's and is outside our control.

Our handling of personal data is described in our Privacy Policy, which forms part of these terms. In most cases Elbit acts as processor and you act as controller. We process personal data only to provide the service and on your instructions.
Fees for the software are as agreed in writing between us. Charges levied by Meta for message delivery, and any other third-party costs, are separate and are your responsibility unless we have agreed otherwise. You are responsible for maintaining a valid payment method on your own WhatsApp Business Account where one is required.
We aim to keep the service available and to resolve faults promptly, but we do not guarantee uninterrupted operation. Availability depends in part on Meta's platforms, your internet connectivity and your own devices. We may carry out maintenance, and will give notice of planned downtime where practical.
Elbit retains all rights in the software, its source code and its design, except where source code has been expressly transferred to you in writing. You retain all rights in your own data and content. Nothing in these terms transfers ownership of your data to us.
To the fullest extent permitted by law, Elbit is not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data arising from use of the service. Our total liability in any twelve-month period is limited to the fees you paid us for the software in that period. Nothing in these terms excludes liability that cannot lawfully be excluded.
Either party may end this agreement in accordance with the notice period agreed between us. We may suspend or terminate the service immediately where required by law, where Meta requires it, or where use of the service breaches section 6. On termination we will return or delete your data as described in the Privacy Policy.
We may update these terms. The version in force is the one published at this address, and the "last updated" date above will change when it does. Material changes will be communicated to clients directly before they take effect.
These terms are governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction over any dispute arising from them.
